Description
SCOPE:
Assists in directing routine corporate legal matters and advising management on standard corporate governance issues. Assures that business practices, policies, and dealings of the corporation meet regulatory requirements to protect the corporation from legal action. Prepares and interprets legal documents and provides counsel to management on legal matters. Assures compliance with all federal and state legal and regulatory requirements. Supports and adheres to the US Oncology Compliance Program, to include the Code of Ethics and Business Standards.
ESSENTIAL DUTIES AND RESPONSIBILITIES:
· Provides advice on legal issues to company management and staff.
· Provides company management with legal services related to corporate mergers, acquisitions, or other strategic partnerships.
· Resolves claims and disputes prior to litigation.
· Identifies potential legal issues related to business practices and policies and advises management.
· Reviews and interprets legislation as it pertains to company operations and activity.
· Counsels management on legal handling of business transactions such as leases, contracts, sales, etc.
· Drafts and reviews contracts, endorsements and agreements, restructuring coverage where necessary to reduce risk.
· Assists in advising Corporate Human Resources and senior management on employee/labor law.
· Advises senior management on securities law matters including compliance issues, rule 144 transactions and registration of stock issues.
· Participates in structuring and negotiating complex transactions and sets up procedures to reduce risk.
· Reviews corporate legal contracts and documents for compliance with legal requirements.
· Retains outside counsel as necessary.
· Forms companies and legal entities and assists in acquisitions.
· Assists in representing the company at hearings and administrative procedures.
· Develops and reviews corporate governance and compliance procedures. Participates in the preparation and update of matters related to the company's Corporate Compliance Program.
Requirements
MINIMUM QUALIFICATIONS:
Juris doctor (JD) degree from an accredited law school, as well as admission into the appropriate federal and state bar associations required. Minimum four years experience in corporate law. Prior healthcare experience preferred.
